19 The Transition into Bankruptcy
11/29/2018 The Transition into Bankruptcy What happens to a contract when the debtor files for bankruptcy? Does it matter whether the contract itself says something about it? “This contract terminates automatically if either party files a bankruptcy petition.” What role should nonbankruptcy law play in that process? 11/29/2018 Cases for Today The 365(c) Limit on Assumption Perlman v. Catapult Adopts “hypothetical test” reading of 365(c), which results in debtor forfeiture of valuable executory contracts Institut Pasteur Adopts “actual test” approach to 365(c), to avoid forfeiture November 29, 2018 Copyright © Randal C. 11/29/2018 Perlman Core Facts Perlman held patents and licensed those patents to Catapult Catapult planned to file for bankruptcy and do a merger in which it would be the surviving entity It also planned to assume the patent licenses under 365 November 29, 2018 Copyright © Randal C. Picker

11/29/2018 Perlman IP Licenses and Sec. 365 Note that special rules apply in 365(n), but those are cases in which the debtor is the licensor, not when the debtor is the licensee Perlman is just ordinary case then Also we should ignore the merger (see fn 1) Can Catapult assume the patent license? 11/29/2018 Perlman v. Catapult The Hypothetical Test Approach Don’t ask is the debtor trying to have a third party perform the contract Ask instead whether the debtor could assign the contract to a third party, even though the debtor isn’t trying to do that November 29, 2018 Copyright © Randal C. Picker

11/29/2018 Institut Pasteur Wrinkles Should we think of sale of debtor’s stock as de facto assignment of its executory contracts? The Actual Test Approach “Contemplate a case-by-case inquiry into whether the nondebtor party (viz., Pasteur) was being ‘forced to accept performance under its executory contract from someone other than the debtor party with whom it originally contracted.’” November 29, 2018 Copyright © Randal C.
